1. Acceptance of These Terms
These Terms of Use (“Terms”) govern your use of the Event Donations mobile app (the “App”) provided by Lepta Payment Solutions Limited (“Lepta,” “we,” “us,” or “our”), a company incorporated in the Republic of Ireland (registration number 769911), whose registered office is at Watch Tower House, Blackditch, Newcastle, Co. Wicklow, A63 RF61 Ireland.
By checking the acceptance box and using the App, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (available at https://leptapay.com/app-privacy-policy) and Stripe, Inc.’s (“Stripe”) Privacy Policy (available at https://stripe.com/privacy). If you do not agree to these Terms, you must not use the App.
These Terms apply to both categories of App users:
Volunteers: individuals authorized by a legal entity to use the App to collect donations; and
Donors: individuals who make donations through the App.
Where a provision applies only to Volunteers or only to Donors, this is stated expressly. All other provisions apply to both.
2. Description of the App
The App enables authorized Volunteers to collect donations on behalf of designated legal entities (“Legal Entities”) using Tap-to-Pay technology. The App facilitates the donation transaction by collecting the donation amount and, where applicable, the Donor’s personal information, and transmitting this data to Stripe for payment processing. The donation is made to the Legal Entity, not to Lepta.
Lepta does not operate as a regulated payment service provider or financial institution. Lepta acts as an agent on behalf of the Legal Entities and as a technology intermediary facilitating access to Stripe’s payment services. Lepta does not receive, hold, or transmit donated funds. All payment processing, including the acceptance and settlement of funds, is performed by Stripe and/or the relevant payment service provider.
3. Eligibility and Authorization
3.1 Volunteers
To use the App as a Volunteer, you must:
(a) be authorized by a Legal Entity that has a valid agreement with Lepta;
(b) have received a valid authorization code from your Legal Entity’s administrator;
(c) use the App only on a compatible mobile device with NFC capability (running a supported version of iOS or Android); and
(d) use the App only in a country where Tap-to-Pay is available and supported by Stripe.
Your authorization code is personal to you and must not be shared with any other person. You are responsible for all activity conducted through the App using your authorization code.
3.2 Donors
No account, registration, or authorization code is required to make a donation through the App. By tapping your payment card and completing a donation, you agree to these Terms for the duration of that transaction.
4. Donations
4.1 Donation transactions
When you make a donation through the App, you are donating directly to the Legal Entity displayed on the donation screen. Lepta facilitates the transaction but is not the recipient of your donation. The Legal Entity’s name is displayed on the donation screen and on your payment card statement; in some cases, the name of the Legal Entity’s payment service provider may be displayed instead.
By completing a donation, you confirm that:
(a) you are the authorized holder of the payment card used, or have the cardholder’s permission to use it;
(b) you intend the payment as a voluntary donation to the Legal Entity displayed on the screen; and
(c) the donation amount you entered is correct.
4.2 Payment processing
All payment transactions are processed by Stripe. Payment card data (card number, expiry date, CVC) is captured by the Stripe SDK integrated into the App and transmitted directly to Stripe’s servers. Lepta does not have access to, process, or store your payment card data at any point. Your use of Stripe’s payment services is subject to Stripe’s Terms of Service and Privacy Policy.
4.3 Refunds
Donations are received with the understanding that they are being given as an outright gift for immediate use and will not be refunded. If you believe your donation has been made in error, please contact the Legal Entity to which the donation was made. Lepta does not independently process refunds. Any donations returned will be returned to the original payment method used for the donation.
4.4 Tax receipts
In certain jurisdictions, the Legal Entity may issue a tax-deductible donation receipt. Where required by local tax law, the App will collect your name, email address, and mailing address for this purpose (see the Lepta Mobile Application Privacy Policy (the “Privacy Policy”), Section 3.2). The issuance and content of tax receipts is the responsibility of the Legal Entity, not Lepta. Lepta makes no representations regarding the tax-deductibility of donations.
4.5 Receipt and letter of appreciation opt-in
The App may offer you the option to receive a donation receipt or a letter of appreciation from the Legal Entity. This is entirely optional and is not a condition of making a donation. If you opt in, your contact details will be shared with the Legal Entity for this purpose. You may withdraw your consent at any time by contacting Lepta or the Legal Entity. Full details are set out in Section 5 of the Privacy Policy.
4.6 Donations by minors
If you are under 18 (or the age of majority in your jurisdiction), you confirm that you have your parent’s or guardian’s permission to make this donation. A parent or guardian may request a full refund of any donation made by a minor by contacting the Legal Entity that received the donation. The Legal Entity will process such refund requests without undue delay.
Where the donor is under 16 (or the applicable age of digital consent in the relevant jurisdiction), the processing of the donor’s personal data for the receipt opt-in (Section 4.5) requires authorisation by the holder of parental responsibility, in accordance with Article 8 General Data Protection Regulation.
5. Volunteer Obligations
As a Volunteer, you agree to:
(a) use the App only for the purpose of collecting donations on behalf of the Legal Entity that authorized you;
(b) not use the App for any personal, commercial, fraudulent, or unauthorized purpose;
(c) ensure that Donors have the opportunity to review the on-screen privacy disclosures before completing a transaction;
(d) not modify, tamper with, reverse-engineer, or attempt to extract the source code of the App;
(e) not use the App in any manner that could damage, disable, overburden, or impair the App or interfere with any other party’s use;
(f) sign out of the App when you have finished collecting donations, which will clear your personal data from the device; and
(g) report any suspected security incident, unauthorized use of your authorization code, or technical malfunction to your Legal Entity’s administrator and to Lepta without undue delay.
6. Device Requirements and Permissions
The App requires a compatible mobile device with NFC capability, running a supported version of iOS or Android. The App will request the following device permissions:
Location: Required by the Stripe Terminal SDK to verify that Tap-to-Pay is being used in an approved country. Without location permission, the App cannot initialize or accept payments. Location data is not stored by Lepta.
Network access: Required to transmit transaction data to Stripe and to communicate with Lepta’s backend services.
The App does not request access to your contacts, photos, camera, microphone, or any other device feature beyond those listed above.
7. Intellectual Property
The App, including its design, code, graphics, user interface, and all content (other than content provided by Stripe or third-party SDK providers), is owned by or licensed to Lepta and is protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for the purposes described in these Terms. You may not:
(a) copy, modify, distribute, sell, or lease any part of the App;
(b) reverse-engineer or attempt to extract the source code of the App, except to the extent permitted by applicable law; or
(c) use any Lepta trademarks, logos, or service marks without Lepta’s prior written consent.
8. Privacy and Data Protection
Your privacy is important to us. The collection, use, storage, and sharing of your personal data in connection with the App is governed by the Lepta App Privacy Policy, which is available at leptapay.com/privacy-policy and forms part of these Terms. By using the App, you acknowledge that you have read and understood the Privacy Policy.
Key points are summarized on the App’s screens at the point of data collection (Screen 1 for Volunteers, Screen 2 for Donors). The full Privacy Policy provides detailed information about: the personal data collected; the purposes and legal bases for processing; who your data is shared with; international data transfers and the safeguards in place; your data protection rights; and how to contact us or lodge a complaint.
9. Third-Party Services
The App integrates with the following third-party services:
Stripe: Provides payment processing via the Stripe Terminal SDK. Stripe’s services are subject to Stripe’s terms of service (stripe.com/legal) and privacy policy (stripe.com/privacy). Stripe. is self-certified under the EU–U.S. Data Privacy Framework.
Google Places API: Provides address autocomplete functionality. Google’s services are subject to Google’s terms of service and privacy policy.
Device manufacturer: Tap-to-Pay is provided by the device manufacturer (Apple for iOS, Google for Android). Your use of the device and its operating system is subject to the applicable manufacturer’s terms and conditions.
Lepta is not responsible for the terms, privacy practices, or availability of these third-party services. If any third-party service becomes unavailable, certain features of the App may be affected.
10. Disclaimers
(a) The App is provided “as is” and “as available.” To the fullest extent permitted by applicable law, Lepta disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
(b) Lepta does not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
(c) Lepta does not warrant the accuracy, completeness, or reliability of any information displayed through the App, except for the privacy disclosures set out in the Privacy Policy.
(d) Lepta is not a party to the donation transaction between the Donor and the Legal Entity. Lepta does not guarantee the tax-deductible status of any donation, the issuance of any tax receipt, or the delivery of any letter of appreciation.
(e) Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law, including consumer protection laws in your jurisdiction.
11. Limitation of Liability
(a) To the fullest extent permitted by applicable law, Lepta’s total aggregate liability to you for all claims arising out of or in connection with the App or these Terms, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the amount of the last donation you made through the App, or EUR 100, whichever is greater.
(b) To the fullest extent permitted by applicable law, Lepta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the App, even if Lepta has been advised of the possibility of such damages.
(c) The limitations in this Section apply to the extent permitted by applicable law in your jurisdiction. In jurisdictions that do not allow the exclusion or limitation of certain liabilities (including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation), the limitations in this Section shall apply only to the extent permitted by such law.
(d) Nothing in these Terms limits Lepta’s liability for: (i) death or personal injury caused by Lepta’s negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Lepta, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the App in breach of these Terms; (b) your use of a payment card without proper authorization; or (c) any donation transaction that you initiate through the App. This indemnification obligation does not apply to the extent that the claim arises from Lepta’s own negligence or wilful misconduct.
13. Modifications to These Terms
Lepta may update these Terms from time to time. If we make material changes, we will notify you through the App or by other appropriate means before the changes take effect. The “Last updated” date at the top of these Terms indicates when they were most recently revised. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.
14. Termination and Suspension
(a) Volunteers: Your right to use the App as a Volunteer may be terminated or suspended at any time by your Legal Entity (by revoking your authorization code) or by Lepta (if we reasonably believe you are using the App in breach of these Terms or applicable law). Upon termination, you must sign out of the App, which will clear your personal data from the device.
(b) Donors: These Terms apply to each individual donation transaction. No ongoing account or relationship is created. You may choose not to make further donations at any time. (c) Lepta may discontinue the App at any time, with or without notice. Discontinuation does not affect any donation transaction already completed.
15. Governing Law and Dispute Resolution
(a) These Terms are governed by and construed in accordance with the laws of the Republic of Ireland, without regard to its conflict of laws provisions.
(b) Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Ireland.
(c) If you are a consumer resident in the European Economic Area, you retain the right to bring proceedings in the courts of the Member State of your habitual residence, and nothing in these Terms limits any mandatory consumer protection rights available to you under the law of your habitual residence.
(d) If you are a consumer resident in the United Kingdom, you retain the right to bring proceedings in the courts of England and Wales, Scotland, or Northern Ireland (as applicable), and nothing in these Terms limits any mandatory consumer protection rights available to you under UK law.
16. General Provisions
(a) Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lepta regarding your use of the App. They do not affect any separate agreement between the Legal Entity and Lepta (including the Agency Agreement and Data Processing Addendum), which governs the Legal Entity’s relationship with Lepta.
(b) Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the intent of the original provision.
(c) Waiver. Lepta’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
(d) Assignment. You may not assign or transfer your rights or obligations under these Terms without Lepta’s prior written consent. Lepta may assign its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
(e) Language. These Terms are drafted in English. If these Terms are translated into any other language and there is a conflict between the English version and the translated version, the English version shall prevail to the extent permitted by applicable law. Where mandatory consumer protection law requires that a local language version prevail, that version shall control.
(f) No third-party beneficiaries. These Terms are between you and Lepta. No other person has any right to enforce any provision of these Terms, except that the Legal Entity on whose behalf a Volunteer uses the App may enforce the Volunteer obligations in Section 5.
